1. Introduction
These Terms of Service ("Terms") govern your access to and use of Clan Labs, including our website, dashboard, Discord application, Roblox integrations, APIs, software, and related services (collectively, the "Services").
Clan Labs is operated by Software Ventures Pty Ltd ("Clan Labs", "we", "our", or "us").
By creating an account, purchasing a subscription, connecting a Discord server or Roblox group, accessing our APIs, or otherwise using the Services, you agree to these Terms.
If you do not agree to these Terms, you must not use the Services.
Our Privacy Policy also applies to your use of the Services and explains how we collect, use, store, disclose, retain, and protect information.
2. Eligibility and Authority
You may only use Clan Labs if you are legally permitted to do so.
If you are under the age of majority in your jurisdiction, you must have the permission of a parent or legal guardian where required by applicable law.
When using features connected to Discord, Roblox, or another third-party platform, you must also satisfy the eligibility and minimum-age requirements imposed by that platform.
If you use Clan Labs on behalf of a company, organisation, Discord server, Roblox group, community, or other entity, you represent that:
- You have authority to act on behalf of that entity;
- You have authority to accept these Terms on its behalf;
- You are authorised to connect the applicable Discord server, Roblox group, accounts, and other resources to Clan Labs; and
- Your use of Clan Labs on behalf of that entity complies with applicable laws and third-party platform rules.
You must not connect or attempt to manage a Discord server, Roblox group, account, or other resource that you are not authorised to administer.
3. Description of Clan Labs
Clan Labs provides tools for managing Roblox groups and communities, including functionality that may integrate with Discord and Roblox.
Features may include:
- Roblox group management;
- Member progression and experience tracking;
- Rank management;
- Discord role synchronisation;
- Discord and Roblox account linking;
- Quota tracking;
- Qualifications;
- Medals and awards;
- Warnings and administrative records;
- Blacklists;
- Analytics;
- Audit logs;
- APIs and game integrations;
- Permissions and administrative controls;
- Automation; and
- Other community-management functionality.
Available features may vary depending on the subscription, configuration, connected platforms, and changes to the Services.
Clan Labs does not guarantee that every feature will remain available indefinitely or operate identically at all times.
4. Third-Party Platforms
Clan Labs interoperates with services operated by third parties, including Discord and Roblox.
Your use of those platforms remains independently subject to their respective terms, policies, rules, and technical limitations.
You agree to comply with all applicable third-party terms when using Clan Labs, including the applicable:
- Roblox Terms of Use;
- Roblox Community Standards;
- Roblox policies applicable to third-party applications and API access;
- Discord Terms of Service;
- Discord Community Guidelines; and
- Discord rules and policies applicable to applications and APIs.
You must not use Clan Labs to perform an action that would violate the rules of Discord, Roblox, or another applicable platform.
4.1 Roblox
These Terms are solely between you and Software Ventures Pty Ltd. They are not an agreement between you and Roblox Corporation.
Clan Labs is an independent third-party service and is not affiliated with, endorsed by, sponsored by, or operated by Roblox Corporation.
Roblox is not responsible for Clan Labs or for your use of Clan Labs and has no obligation to provide maintenance, technical support, customer service, or other services in relation to Clan Labs.
To the maximum extent permitted by applicable law, by accessing or using Clan Labs you acknowledge and agree to waive and release claims, liabilities, damages, losses, and expenses against Roblox arising from or relating to Clan Labs or your use of Clan Labs.
Nothing in these Terms excludes or limits any right that cannot lawfully be excluded or waived.
4.2 Discord
These Terms are solely between you and Software Ventures Pty Ltd. Discord Inc. is not a party to these Terms.
Clan Labs is an independent application and is not operated by or endorsed by Discord unless expressly stated otherwise.
Your use of Discord through Clan Labs remains subject to Discord's applicable terms and policies.
Clan Labs' access to Discord features and data depends on continued access to Discord's APIs, Gateway, permissions, privileged intents, and other services. Discord may change, restrict, suspend, or discontinue access to these systems independently of Clan Labs.
5. Accounts and Authentication
Certain features require a Clan Labs account or authentication using a supported third-party service.
You agree to provide accurate and current information where information is requested from you.
You are responsible for:
- Protecting access to your account;
- Maintaining the security of authentication methods and credentials under your control;
- Ensuring only authorised people are given administrative access;
- Reviewing permissions granted to other administrators; and
- Promptly notifying us if you suspect unauthorised access.
You must not:
- Access another person's Clan Labs account without permission;
- Share credentials in a manner that compromises account security;
- Circumvent authentication or authorisation controls;
- Impersonate another person or organisation; or
- Attempt to obtain credentials belonging to another user.
Where Clan Labs supports third-party authentication or authorisation, you should only provide credentials or permissions through mechanisms explicitly supported by Clan Labs and permitted by the applicable platform.
6. Community Administrators
Clan Labs allows authorised administrators to configure functionality affecting members of their communities.
Administrators are responsible for ensuring that their configuration and use of Clan Labs is lawful, appropriate, and authorised.
This includes responsibility for:
- Role and rank configurations;
- Permissions;
- Warnings;
- Blacklists;
- Qualifications;
- Administrative notes or records;
- Member progression;
- Automated actions; and
- Information submitted by administrators to Clan Labs.
You must not use Clan Labs to create, maintain, or distribute content that is unlawful, defamatory, abusive, discriminatory, deceptive, or that unjustifiably infringes another person's privacy or rights.
You should not enter highly sensitive personal information, financial information, health information, passwords, authentication credentials, or other information that Clan Labs has not specifically requested into warnings, notes, qualifications, or other free-text fields.
Community administrators remain responsible for decisions they make using information provided through Clan Labs.
7. Subscriptions
Certain Clan Labs features require a paid subscription.
Available plans, prices, subscription periods, included features, and applicable taxes or charges are displayed before purchase.
Unless otherwise stated, prices displayed by Clan Labs are in United States dollars (USD).
7.1 Subscription Periods
A purchase may be offered as:
- A recurring subscription; or
- A fixed-duration or prepaid subscription.
The applicable checkout page will identify the subscription period and whether the purchase renews automatically.
If you purchase a recurring subscription, you authorise the applicable payment provider to charge the payment method associated with your purchase at the beginning of each renewal period until the subscription is cancelled.
If you purchase a non-renewing fixed-duration subscription, access will expire at the end of the purchased period unless you purchase another subscription.
7.2 Cancellation
Recurring subscriptions may be cancelled before the next renewal in accordance with the cancellation method made available through Clan Labs or the applicable payment provider.
Unless otherwise stated, cancellation prevents future renewal and does not immediately terminate access for a period that has already been paid for.
You are responsible for cancelling a recurring subscription before its renewal date if you do not want it to renew.
7.3 Price Changes
We may change subscription prices from time to time.
Any price change affecting a recurring subscription will apply no earlier than a future renewal and will be communicated where required by applicable law.
Changing our pricing does not retrospectively increase the price of a subscription period that has already been paid for.
7.4 Payment Providers
Payments may be processed by third-party payment providers.
Your payment may therefore also be subject to the applicable payment provider's terms and privacy policy.
Clan Labs may receive information from the payment provider concerning your purchase, subscription, payment status, and customer account.
8. Refunds and Consumer Rights
Except where otherwise stated at the time of purchase, Clan Labs does not ordinarily provide refunds solely because:
- You changed your mind;
- You no longer require the Services;
- You forgot to cancel a recurring subscription;
- You did not use some or all of a purchased subscription period; or
- Your community stopped using Clan Labs for reasons unrelated to a failure by Clan Labs.
However, this policy does not exclude, restrict, or modify rights or remedies that cannot lawfully be excluded.
Australian Consumer Law
Our Services come with consumer guarantees that cannot be excluded under the Australian Consumer Law where those guarantees apply.
For major failures with a service, you may be entitled to cancel the service contract and obtain a refund for the unused portion or compensation for its reduced value.
You may also be entitled to compensation for other reasonably foreseeable loss or damage.
If a failure does not amount to a major failure, you may be entitled to have the problem rectified within a reasonable time and, if this does not occur, to cancel the service and obtain a refund for the unused portion.
Nothing in these Terms is intended to exclude or limit these or any other rights that cannot lawfully be excluded.
9. Acceptable Use
You must use Clan Labs responsibly and lawfully.
You must not use or attempt to use the Services to:
- Violate any applicable law or regulation;
- Violate Discord's, Roblox's, or another connected platform's applicable terms or policies;
- Harass, threaten, abuse, exploit, or unlawfully discriminate against another person;
- Scam, defraud, deceive, or impersonate another person or organisation;
- Gain unauthorised access to an account, system, network, group, server, or data;
- Obtain or expose passwords, authentication tokens, private keys, API credentials, or similar secrets belonging to another person;
- Conduct phishing or credential theft;
- Distribute malware or malicious code;
- Conduct denial-of-service attacks or otherwise interfere with the availability of the Services;
- Circumvent access controls, security controls, rate limits, usage restrictions, or technical safeguards;
- Exploit vulnerabilities in Clan Labs, Discord, Roblox, or another service;
- Scrape, harvest, or systematically collect information except through functionality expressly provided or authorised by Clan Labs;
- Reverse engineer the Services except where applicable law expressly permits it;
- Sell, sublicense, rent, or provide unauthorised commercial access to Clan Labs;
- Use Clan Labs to artificially manipulate Discord server membership, engagement, activity, Roblox statistics, or other platform metrics;
- Use Clan Labs to evade enforcement action taken by Clan Labs, Discord, Roblox, or another platform;
- Submit information that you do not have the right to submit;
- Infringe intellectual property, privacy, publicity, confidentiality, or other rights; or
- Assist another person in carrying out prohibited conduct.
We may impose technical limits designed to protect the security, integrity, availability, and fair use of Clan Labs.
10. APIs and Developer Integrations
Where Clan Labs provides an API, SDK, integration, API token, webhook, or other developer functionality, we grant you a limited, revocable, non-exclusive, non-transferable right to use that functionality solely for authorised purposes in connection with Clan Labs.
You are responsible for securing API credentials issued to you.
You must not:
- Publish or expose private API credentials;
- Use credentials belonging to another customer without authorisation;
- Circumvent API rate limits;
- Attempt to access undocumented or restricted functionality without permission;
- Use the API to obtain data you are not authorised to access;
- Use the API in a manner that compromises Clan Labs or another service;
- Resell or sublicense access to the Clan Labs API without written permission; or
- Misrepresent an integration as being officially endorsed by Clan Labs.
We may modify API functionality, permissions, limits, authentication requirements, and versions where reasonably necessary for security, reliability, platform compliance, or continued development.
Where practicable, we will provide reasonable notice of material changes that may break supported integrations.
We may immediately revoke or restrict API credentials where reasonably necessary to address misuse, a security risk, a Terms violation, or an applicable platform requirement.
11. Customer Data and Content
You or your community may submit information, configurations, records, text, identifiers, or other content to Clan Labs ("Customer Content").
You retain any ownership rights you have in Customer Content.
You grant Clan Labs a limited, worldwide, non-exclusive licence to host, store, reproduce, transmit, process, and otherwise use Customer Content only as reasonably necessary to:
- Provide the Services;
- Execute functionality you request;
- Maintain and secure Clan Labs;
- Provide support;
- Comply with applicable law; and
- Exercise our rights and obligations under these Terms and our Privacy Policy.
You represent that you have the rights and permissions reasonably necessary for us to process Customer Content as contemplated by these Terms.
Our handling of personal information, Discord API Data, and other information is further described in our Privacy Policy.
12. Data and Privacy
Our collection and processing of personal information is governed by the Clan Labs Privacy Policy.
Where Clan Labs processes information received from Discord, Roblox, or another platform, our processing is also subject to applicable platform requirements.
You must not use Clan Labs in a way that causes us to collect, process, disclose, or transmit information in violation of applicable law or applicable third-party platform rules.
Where you control information submitted to Clan Labs about other people, you are responsible for ensuring that you have an appropriate basis to provide and process that information.
13. Security
We take reasonable administrative, technical, and organisational measures designed to protect the Services and information processed through them.
You acknowledge that no online service can guarantee absolute security.
You must notify us promptly if you:
- Discover a vulnerability affecting Clan Labs;
- Believe your account or API credentials have been compromised;
- Become aware of unauthorised access to information through Clan Labs; or
- Believe Clan Labs is being used for malicious activity.
You must not exploit a security vulnerability beyond what is reasonably necessary to demonstrate and report it.
14. Third-Party Service Availability
Some Clan Labs features depend on third-party services, APIs, infrastructure, or platforms that we do not control.
This includes services provided by Discord, Roblox, hosting providers, payment providers, and other infrastructure or integration providers.
A third party may:
- Experience an outage;
- Change or remove an API;
- Modify permissions;
- Change rate limits;
- Change its terms or policies;
- Restrict Clan Labs' access;
- Suspend an integration; or
- Discontinue functionality.
These events may temporarily or permanently affect Clan Labs features.
We will use reasonable efforts to maintain the Services, but unless expressly agreed in a separate written service-level agreement, we do not guarantee uninterrupted or error-free availability.
Nothing in this section excludes rights or remedies that cannot lawfully be excluded.
15. Changes to the Services
We continually develop Clan Labs and may add, modify, replace, or discontinue features.
We may make changes where reasonably necessary for:
- Security;
- Reliability;
- Performance;
- Legal compliance;
- Discord or Roblox platform compliance;
- Third-party API changes;
- Abuse prevention; or
- Product development.
Where a change materially reduces the core functionality of a paid Service during an already-paid subscription period, we will take reasonable steps to provide notice or an appropriate remedy where required by applicable law.
16. Beta and Experimental Features
We may make preview, beta, experimental, or early-access functionality available from time to time.
Such functionality may:
- Be incomplete;
- Change without notice;
- Contain errors;
- Experience interruptions; or
- Be discontinued.
You should not rely on beta or experimental functionality for critical operations unless we expressly state otherwise.
Your statutory rights remain unaffected.
17. Intellectual Property
Clan Labs and its underlying software, branding, designs, documentation, interfaces, and other materials are owned by or licensed to Software Ventures Pty Ltd, except where expressly identified as belonging to another party.
These Terms do not transfer ownership of Clan Labs intellectual property to you.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for their intended purpose during the period in which you are authorised to use them.
You must not copy, reproduce, distribute, sell, sublicense, or create derivative works from Clan Labs materials except where:
- We have expressly authorised it;
- An applicable open-source licence permits it; or
- Applicable law gives you a right that cannot be excluded.
Discord, Roblox, and other third-party names, trademarks, and materials remain the property of their respective owners.
18. Feedback
If you voluntarily provide suggestions, ideas, bug reports, or other feedback about Clan Labs, you permit us to use that feedback without restriction or compensation to you.
This does not transfer ownership of your unrelated intellectual property or Customer Content.
19. Suspension and Termination
19.1 Termination by You
You may stop using Clan Labs at any time.
You may also cancel eligible subscriptions in accordance with Section 7.
19.2 Suspension or Termination by Clan Labs
We may restrict, suspend, or terminate access to some or all of the Services where reasonably necessary because:
- You materially or repeatedly breach these Terms;
- Your use creates a security or operational risk;
- Your use may violate applicable law;
- Your use may violate Discord's, Roblox's, or another relevant platform's requirements;
- We are required to do so by law or a third-party platform;
- Payment for a paid Service is overdue, reversed, disputed, or fraudulent;
- We reasonably believe an account has been compromised;
- Continued provision of the Services becomes technically or legally impracticable; or
- It is necessary to protect Clan Labs, our users, or third parties from harm.
Where circumstances reasonably allow, we may provide notice and an opportunity to resolve the issue before termination.
We may act immediately where necessary to address fraud, security incidents, abuse, legal requirements, third-party platform requirements, or material risks to other users or the Services.
19.3 Effect of Termination
When access ends:
- Your right to use the affected Services ends;
- API credentials may be revoked;
- Integrations may stop operating;
- Automated actions and synchronisation may cease; and
- Information may be retained or deleted in accordance with our Privacy Policy, legal obligations, and applicable third-party platform requirements.
Termination does not affect rights and obligations that accrued before termination.
Provisions which by their nature are intended to survive termination will continue to apply.
20. Disclaimers
To the maximum extent permitted by law, and subject to any rights that cannot lawfully be excluded, Clan Labs is provided on an "as available" basis.
We do not promise that:
- The Services will always be available;
- Every feature will always function without interruption or error;
- Discord, Roblox, or another third party will continue providing functionality required by Clan Labs;
- Automated actions will always complete successfully;
- Information received from third-party platforms will always be accurate or current; or
- The Services will meet every particular community's requirements.
Administrators should use appropriate judgement before relying on automated or administrative actions for important decisions.
Nothing in these Terms excludes any statutory guarantee, warranty, condition, right, or remedy that cannot lawfully be excluded.
21. Limitation of Liability
Nothing in these Terms excludes, restricts, or modifies liability where doing so would be unlawful, including applicable rights under the Australian Consumer Law.
To the maximum extent permitted by law, Clan Labs and Software Ventures Pty Ltd will not be liable for indirect, incidental, special, exemplary, or consequential loss arising from use of the Services, including loss of profits, revenue, goodwill, business opportunity, or data, except to the extent such liability cannot lawfully be excluded.
To the extent permitted by law, our liability for loss arising from a failure of the Services will be reduced to the extent that the loss was caused or contributed to by:
- Your acts or omissions;
- An administrator of your community;
- Misconfigured permissions, role bindings, automations, or integrations;
- Unauthorised access resulting from credentials or systems under your control;
- A third-party platform or provider;
- Your failure to follow documentation or reasonable security instructions; or
- Use of Clan Labs contrary to these Terms.
Where the Australian Consumer Law permits liability for a failure to comply with a consumer guarantee relating to services to be limited, our liability may be limited, at our option and to the extent permitted by law, to supplying the services again or paying the cost of having the services supplied again.
Nothing in this section is intended to limit rights or remedies that cannot lawfully be limited.
22. Your Responsibility for Misuse
You are responsible for your own use of Clan Labs and for actions taken through accounts, API credentials, and administrative access under your control, except to the extent an action results from a security failure for which Clan Labs is legally responsible.
If you use Clan Labs on behalf of a business or other organisation, then, to the maximum extent permitted by law, that organisation is responsible for third-party claims resulting from its unlawful use of the Services, its Customer Content, or its material breach of these Terms.
This section does not require a consumer to compensate Clan Labs for loss caused by Clan Labs or where doing so would be prohibited by applicable law.
23. Changes to These Terms
We may update these Terms from time to time to reflect:
- Changes to Clan Labs;
- Changes to applicable laws;
- Changes to Discord, Roblox, or other third-party requirements;
- Security or abuse-prevention requirements; or
- Other reasonable operational requirements.
The updated Terms will be published on our website with a revised "Last Updated" date.
If a change materially affects your rights or obligations, we will provide reasonable notice where required by applicable law.
Urgent changes necessary for legal compliance, security, fraud prevention, or compliance with a third-party platform requirement may take effect sooner.
Your continued use of the Services after updated Terms take effect constitutes acceptance of those Terms where permitted by law.
If you do not agree with an updated version, you must stop using the Services and cancel any future subscription renewal.
24. Governing Law
These Terms are governed by the laws of Queensland, Australia, without regard to conflict-of-law principles.
Subject to any rights you have under applicable consumer or other mandatory laws, disputes arising from these Terms or the Services will be subject to the jurisdiction of the courts of Queensland, Australia and courts entitled to hear appeals from them.
Nothing in these Terms prevents a consumer from exercising rights available under laws that apply to them and cannot contractually be excluded.
25. General Terms
25.1 Entire Agreement
These Terms, our Privacy Policy, and any additional terms expressly presented to you for a particular Service or purchase constitute the agreement between you and Software Ventures Pty Ltd relating to your use of Clan Labs.
Where specific purchase terms conflict with these Terms regarding the price, duration, or features of that purchase, the specific purchase terms apply to that issue.
Applicable Discord, Roblox, payment-provider, and other third-party terms remain separate agreements between you and those third parties.
25.2 Severability
If any provision of these Terms is found to be unlawful or unenforceable, that provision will apply to the maximum extent permitted by law and the remaining provisions will continue in effect.
25.3 No Waiver
If we do not immediately enforce a provision of these Terms, that does not waive our right to enforce it later.
25.4 Assignment
You may not transfer your rights or obligations under these Terms to another person without our consent where consent is reasonably required.
We may transfer our rights and obligations as part of a legitimate corporate restructuring, merger, acquisition, or sale, subject to applicable law and any applicable third-party platform requirements.
25.5 No Partnership or Agency
These Terms do not create an employment, partnership, joint venture, franchise, or agency relationship between you and Software Ventures Pty Ltd.
